1. About these Terms
1.1 These Terms of Service ("Terms") govern your access to and use of PrepHQ, including the website at https://prep-hq.com.au, our mobile-optimised web application, our forum, and any related services (together, the "Service"). The Service is operated by Prep Headquarters Pty Ltd (ACN 697 700 128) trading as PrepHQ ("PrepHQ", "we", "us", "our").
1.2 By creating an account, paying for a subscription, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1.3 If you are using the Service on behalf of a student who is under 18 (as a parent or guardian), you agree to these Terms on their behalf and are responsible for their use of the Service.
2. Definitions
In these Terms:
- "Account" means a registered user account on the Service.
- "Content" means all material made available on the Service by us, including practice questions, method pages, explanations, videos, and interactive resources.
- "Forum" means the community Q&A area of the Service where users can ask and answer questions.
- "Parent" means a parent or legal guardian of a Student under 18.
- "Student" means the person whose learning is supported through the Service, regardless of who pays for the Subscription.
- "Subscription" means a paid plan giving access to premium features of the Service.
- "User" or "you" means any person accessing or using the Service.
- "User Content" means any content you submit to the Service, including forum questions, answers, comments, uploaded images, and messages.
3. Eligibility and accounts
3.1 Minimum age. The Service is not intended for children under 13. You must not register an Account if you are under 13.
3.2 Users aged 13–17. If you are between 13 and 17, you may use the Service only with the consent and supervision of a Parent. Your Parent must either create the Account in their own name or must approve your registration. By registering, you confirm that your Parent has consented.
3.3 Parental responsibility. Parents are responsible for supervising their Student's use of the Service, for payment, and for ensuring the accuracy of information provided.
3.4 Accurate information. You agree to provide accurate, current, and complete information when creating your Account and to keep it up to date.
3.5 Account security. You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. Notify us immediately at support@prep-hq.com.au if you suspect unauthorised access.
3.6 One account per person. You must not create multiple Accounts, share credentials, or transfer your Account to another person without our written consent.
4. Subscriptions, payment, and free trials
4.1 Subscription plans. Details of current Subscription plans, including features and pricing, are available at https://prep-hq.com.au. All prices are in Australian dollars. PrepHQ is not currently registered for GST; prices are GST-free until we register, after which GST may be added or absorbed into existing prices on appropriate notice.
4.2 Billing. By subscribing, you authorise us (or our payment processor) to charge the payment method you provide on a recurring basis for the applicable Subscription fee until you cancel.
4.3 Automatic renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged at the then-current rate for your plan.
4.4 Price changes. We may change Subscription prices. We will give you at least 30 days' notice by email before any price change takes effect, and the change will apply from your next renewal. If you do not accept a price change, you may cancel before it takes effect.
4.5 Free trials. We may offer free trials from time to time. If you do not cancel before the trial ends, your Subscription will automatically begin and you will be charged. Free trials are limited to one per person or household.
4.6 Cancellation. You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access until then, and you will not receive a pro-rata refund for the unused portion unless required by law.
4.7 Refunds. Outside of rights you have under the Australian Consumer Law (see clause 12), refunds are provided at our discretion. We generally do not refund for change of mind after a Subscription has been used.
4.8 Failed payments. If a scheduled payment fails, we may suspend access until payment is received. If payment is not received within 14 days, we may terminate your Subscription.
5. Licence to use the Service
5.1 Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and Content for your (or your Student's) personal, non-commercial educational use.
5.2 You must not:
(a) copy, reproduce, distribute, publicly display, or create derivative works from the Content, except as expressly permitted by these Terms or by the Copyright Act 1968 (Cth);
(b) use the Content or the Service to train any machine learning or artificial intelligence model, or otherwise for the purpose of competing with the Service;
(c) use the Service on behalf of a tutoring business, a school, or another commercial educational provider, except under a separate written licence from us;
(d) scrape, crawl, or use automated means to access the Service other than public indexing by search engines in accordance with our robots.txt file;
(e) bypass or attempt to bypass any technical protection, rate limit, or access control;
(f) resell, sub-licence, or share your Account access with any other person.
6. User Content
6.1 Your responsibility. You are solely responsible for the User Content you submit. You warrant that:
(a) you own the copyright in your User Content, or you have all necessary rights and permissions from the copyright owner to submit it;
(b) your User Content does not infringe any third party's intellectual property rights, including copyright, trade mark, or moral rights;
(c) your User Content does not breach any law, contain defamatory, misleading, or unlawful material, and is not obscene, harassing, threatening, or an invasion of privacy.
6.2 No copyrighted exam material. You must not upload, paste, or otherwise submit verbatim or substantially similar copies of exam questions, past papers, textbook content, or other copyrighted educational material that you do not own or are not licensed to share. This includes (but is not limited to) content produced by ACER, VCAA, NESA, QCAA, SCSA, SACE, and commercial educational publishers. When asking questions in the Forum, you should describe in your own words the concept or method you are struggling with.
6.3 Licence to us. You grant PrepHQ a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sub-licensable licence to use, reproduce, modify, publish, translate, distribute, publicly display, and communicate to the public your User Content for the purposes of operating, promoting, and improving the Service. You retain ownership of your User Content.
6.4 Moral rights consent. To the extent permitted by law, you consent to any act or omission by us or our licensees that would otherwise infringe your moral rights in your User Content.
6.5 Forum etiquette. You agree to engage with other users in the Forum respectfully. You must not post content that is abusive, harassing, discriminatory, sexually explicit, or unlawful. You must not impersonate another person or misrepresent your identity.
6.6 Moderation. We may, but are not obliged to, review, edit, or remove User Content. We may remove User Content and suspend or terminate Accounts for breach of these Terms without notice.
6.7 No reliance. User Content reflects the views of its authors and not PrepHQ. We do not warrant the accuracy of User Content. Students should verify answers against authoritative sources and consult their teachers.
7. Copyright complaints
7.1 If you believe User Content or other material on the Service infringes your copyright, please send a notice to copyright@prep-hq.com.au containing:
(a) your full name and contact details;
(b) identification of the copyrighted work and the allegedly infringing material (including a URL);
(c) a statement that you are the copyright owner or authorised to act on their behalf;
(d) a statement that the use is not authorised by the copyright owner, its agent, or the law.
7.2 We will acknowledge valid notices within 2 business days and will investigate and action within a reasonable period, typically within 10 business days.
7.3 We may disable access to allegedly infringing material pending investigation. We will notify the uploader, who may submit a counter-notice.
7.4 We reserve the right to terminate the Accounts of repeat infringers.
8. Intellectual property
8.1 PrepHQ, the Service, and all Content (excluding User Content) are owned by us or our licensors and are protected by copyright, trade mark, and other intellectual property laws. "PrepHQ" and our logo are our trade marks.
8.2 Nothing in these Terms transfers any intellectual property rights to you except the limited licence in clause 5.
8.3 Some Content on the Service may be provided under licence from third parties, including curriculum and examination authorities. Where attributed, all trade marks and copyrights remain with their respective owners, and their inclusion does not imply endorsement of the Service.
9. Third-party services
9.1 The Service may integrate with or link to third-party services (for example, payment processors, analytics providers, authentication providers). We are not responsible for the content, policies, or practices of third-party services.
9.2 Your use of third-party services is governed by their terms, not ours.
10. Availability and changes
10.1 We aim to make the Service available at all times, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, technical issues, or events outside our control.
10.2 We may add, modify, or remove features of the Service at any time. We will give reasonable notice of changes that materially reduce functionality available to paying subscribers.
10.3 We may discontinue the Service entirely with at least 60 days' notice. If we do, we will provide a pro-rata refund of any prepaid Subscription fees for the period after discontinuation.
11. Disclaimers
11.1 The Service provides educational resources and practice materials. We do not guarantee any particular outcome, including admission to a scholarship, a specific ATAR, or entry to a particular school.
11.2 Information on the Service is general in nature. Students should use the Service as one study tool among many and consult qualified teachers for personalised advice.
11.3 To the maximum extent permitted by law, and subject to clause 12, the Service and all Content are provided "as is" and "as available", without warranties of any kind.
12. Australian Consumer Law
12.1 Nothing in these Terms excludes, restricts, or modifies any consumer right or guarantee that you have under the Australian Consumer Law (ACL) or any similar law that cannot lawfully be excluded.
12.2 Our services come with non-excludable guarantees under the ACL, including guarantees that services will be provided with due care and skill, will be fit for a specified purpose, and will be supplied within a reasonable time.
12.3 If we fail to meet a consumer guarantee, you are entitled to the remedies provided under the ACL, which may include a refund, re-supply of the service, or compensation for reasonably foreseeable loss.
13. Limitation of liability
13.1 Subject to clause 12, to the maximum extent permitted by law:
(a) our total liability to you under or in connection with these Terms, in aggregate over any 12-month period, is limited to the amount paid by you to PrepHQ in that period;
(b) we are not liable for indirect, consequential, or special loss, including loss of opportunity, loss of educational outcome, or loss of data.
13.2 Where our liability cannot lawfully be excluded but can be limited, our liability is limited, at our option, to re-supplying the service or paying the cost of re-supply.
14. Indemnity
14.1 You agree to indemnify and hold PrepHQ harmless from any claims, damages, losses, and expenses (including reasonable legal costs) arising from:
(a) your breach of these Terms;
(b) your User Content, including any third-party claim that your User Content infringes their rights;
(c) your misuse of the Service.
14.2 This indemnity does not apply to the extent that the loss was caused by our negligence or breach of these Terms.
15. Termination
15.1 You may terminate your Account at any time by cancelling your Subscription and closing your Account via settings or by contacting support@prep-hq.com.au.
15.2 We may suspend or terminate your Account immediately if:
(a) you breach these Terms;
(b) we reasonably believe your use is fraudulent, illegal, or harmful to other users;
(c) payment fails and is not rectified within 14 days;
(d) required by law or court order.
15.3 On termination, your right to use the Service ends. Clauses that by their nature survive termination (including intellectual property, limitation of liability, indemnity, and governing law) survive.
16. Governing law and disputes
16.1 These Terms are governed by the laws of Victoria, Australia.
16.2 You and PrepHQ submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.
16.3 Before commencing legal proceedings (other than for urgent interlocutory relief), we encourage you to contact us at support@prep-hq.com.au to resolve the issue informally. If we cannot resolve it within 30 days, either party may commence proceedings.
17. Changes to these Terms
17.1 We may update these Terms from time to time. If we make material changes, we will notify you by email and/or through the Service at least 30 days before the changes take effect.
17.2 Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and may cancel your Subscription.
18. General
18.1 Entire agreement. These Terms (together with the Privacy Policy) are the entire agreement between you and PrepHQ regarding the Service.
18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in force.
18.3 No waiver. A failure or delay by us to enforce a provision is not a waiver of our right to enforce it later.
18.4 Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor or related entity without your consent.
18.5 Notices. We may give notice to you via email to your registered address or via notification within the Service. You may give notice to us at support@prep-hq.com.au.
